Welcome to Lucid Med. These Terms of Service ("Terms") govern your use of our website located at lucidmed.store ("Website") and the services offered by Lucid Med ("we," "us," "our," or the "Company"). By accessing our Website or purchasing our services, you ("you," "your," or "Client") agree to be bound by these Terms.

Please read these Terms carefully before using our services. If you do not agree with any part of these Terms, you must not use our Website or services.

1. About Our Services

1.1 What We Do

Lucid Med is a presentation design service for medical professionals. We provide:

• Custom Presentation Design: We design visually professional medical presentations (PowerPoint, PDF) based on content, research papers, and instructions provided by the Client.
• Presentation Templates: We sell pre-designed, editable presentation templates for various medical specialties and presentation types.
• Related Design Services: Including but not limited to research poster design, speaker notes writing, and presentation formatting.

1.2 What We Are NOT

Lucid Med is not a medical advice service, medical writing service, or academic content creation service. We are a visual design service that formats and designs presentations based on content provided by the Client.

• We do not provide medical advice, diagnosis, or treatment recommendations.
• We do not conduct original medical research.
• We do not generate clinical content, medical opinions, or treatment plans.
• We do not guarantee the medical accuracy of content provided by the Client.

1.3 Nature of Our Service

Our service is analogous to hiring a graphic designer or medical illustrator. The Client provides the intellectual content (research findings, clinical data, presentation structure), and we provide visual design services (slide layout, formatting, visual elements, charts, diagrams). The intellectual work and clinical content remain the responsibility of the Client.

2. Eligibility

2.1 Age Requirement

You must be at least 18 years of age to use our services. By placing an order, you represent and warrant that you are at least 18 years old.

2.2 Professional Use

Our services are intended for use by medical professionals, medical students, medical residents, fellows, and healthcare professionals for educational and professional purposes. By using our services, you represent that you are using them for legitimate educational or professional purposes.

2.3 Account Information

You agree to provide accurate, current, and complete information when placing orders or creating an account. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

3. Orders and Payment

3.1 Placing an Order

To place a custom presentation order, you must:

1. Complete our intake form with all required information
2. Upload relevant materials (research papers, content, instructions)
3. Select a service package
4. Complete payment through our designated payment processor

An order is considered confirmed only after we receive full payment and send a written confirmation via email.

3.2 Pricing

All prices are listed in US Dollars (USD) unless otherwise stated. Prices are subject to change without prior notice, but any price changes will not affect orders already confirmed and paid for.

Current pricing is displayed on our Website and may vary based on:

• Service package selected (Standard, Premium, Rush, Conference)
• Number of slides requested
• Complexity of the topic
• Turnaround time required
• Additional services requested

3.3 Payment Terms

• Payment is required in full before work begins. We do not offer credit terms, installment plans, or "pay after delivery" arrangements.
• Payments are processed through our third-party payment processors (currently PayPal). By making a payment, you also agree to the terms and conditions of the applicable payment processor.
• All fees are exclusive of any applicable taxes, duties, or levies imposed by any governmental authority, which shall be your responsibility.

3.4 Payment Processing

We use third-party payment processors to handle transactions. We do not store your credit card information, debit card information, or banking details on our servers. All payment information is processed and stored by our payment processors in accordance with their respective privacy policies and security standards.

3.5 Currency and Conversion

All prices are listed in USD. If you pay in a currency other than USD, the conversion rate applied will be determined by your payment processor or bank. We are not responsible for any currency conversion fees, exchange rate differences, or additional charges imposed by your bank or payment processor.

3.6 Taxes

You are responsible for any applicable taxes related to your purchase, including but not limited to sales tax, use tax, value-added tax (VAT), or goods and services tax (GST) imposed by your local jurisdiction. Our listed prices do not include such taxes unless explicitly stated.

4. Service Delivery

4.1 Turnaround Time

We make commercially reasonable efforts to deliver your presentation within the timeframe specified by your selected package:

• Standard Package: 48 hours from order confirmation
• Premium Package: 48 hours from order confirmation
• Rush Package: 24 hours from order confirmation
• Conference Package: 72 hours from order confirmation

Turnaround times are measured in business hours and begin when we send your order confirmation email. Turnaround times are estimates, not guarantees. While we strive to meet every deadline, delays may occur due to circumstances beyond our control.

4.2 Delivery Method

Completed presentations are delivered electronically via:

• Download link sent to your registered email address
• Access to files through cloud storage (Google Drive or similar service)

Deliverables typically include:

• Editable PowerPoint file (.pptx)
• PDF version of the presentation
• Any additional files specified in your package

4.3 Client Responsibilities

To enable us to deliver your presentation on time and to your satisfaction, you agree to:

1. Provide complete and accurate information in the intake form
2. Upload all necessary materials (research papers, data, references) at the time of ordering
3. Respond to clarification requests within 12 hours — failure to respond may delay delivery without liability on our part
4. Review delivered work promptly and submit revision requests within the timeframe specified in Section 5
5. Not include any patient-identifiable health information (PHI) in uploaded materials (see Section 9)

4.4 Scope of Work

The scope of each order is defined by:

• The service package selected
• The number of slides specified in the package
• The content and instructions provided in the intake form
• Any additional instructions communicated via email before work begins

Changes to scope after work has begun (including but not limited to additional slides, change of topic, additional research, or fundamental restructuring) may incur additional fees. We will notify you of any additional fees before proceeding.

5. Revisions

5.1 Included Revisions

Each service package includes a specified number of revision rounds:

• Standard Package: 2 rounds of revisions
• Premium Package: Unlimited revisions (within original scope)
• Rush Package: 2 rounds of revisions
• Conference Package: 3 rounds of revisions

A "revision round" is defined as a single set of changes submitted at one time. Multiple emails with individual changes may be counted as separate revision rounds at our discretion.

5.2 What Constitutes a Revision

A revision includes:

• Text changes (corrections, additions, deletions)
• Color or font adjustments
• Layout modifications
• Reordering of slides
• Minor additions to existing slides
• Formatting changes

5.3 What Constitutes a Scope Change (Not a Revision)

The following are considered scope changes, not revisions, and may incur additional fees:

• Changing the presentation topic after work has begun
• Adding slides beyond the package limit
• Requesting entirely new research or content
• Fundamentally restructuring the presentation approach
• Requesting additional deliverable formats not included in the package

5.4 Revision Timeframe

• Revision requests must be submitted within 7 days of receiving the initial delivery.
• We will complete revisions within 24 hours of receiving your revision request.
• If no revision request is received within 7 days, the project is considered complete and accepted.

5.5 Additional Revisions

Revisions beyond the included rounds may be purchased at $50 per additional round. We will notify you when included revisions are exhausted and request your approval before proceeding with paid revisions.

6. Intellectual Property

6.1 Client Ownership

Upon full payment and final delivery, you receive a non-exclusive, perpetual, worldwide license to use the delivered presentation for any personal, educational, or professional purpose, including but not limited to:

• Presenting at Grand Rounds, conferences, lectures, and educational events
• Sharing with colleagues or supervisors
• Including in professional portfolios
• Modifying, editing, or adapting for future use

6.2 Our Rights

We retain the right to:

• Display completed work in our portfolio (on our Website, social media, and marketing materials) unless you explicitly request otherwise in writing at the time of ordering
• Use anonymized or de-identified versions of completed work for promotional purposes
• Retain design templates, layouts, and visual frameworks developed during the course of our work for use in future projects

If you do not wish for your presentation to be used in our portfolio, you must notify us in writing (via email to hello@lucidmed.store) at the time of placing your order or before delivery. We will honor all such requests.

6.3 Third-Party Content

Our presentations may include:

• Stock images licensed for commercial use (from sources such as Unsplash, Pexels, and similar platforms)
• Icons from open-source or commercially licensed icon libraries
• Fonts that are freely available or commercially licensed

We ensure that all visual elements used in your presentation are properly licensed for your use. However, we are not responsible for any claims arising from content (text, data, images) provided by you.

6.4 Client-Provided Content

You represent and warrant that:

• You have the right to use all content provided to us (research papers, images, data)
• Providing content to us does not infringe on any third party's intellectual property rights
• Any research papers or articles provided are used in compliance with applicable copyright laws and fair use principles

You agree to indemnify and hold us harmless from any claims arising from the content you provide.

7. Confidentiality

7.1 Your Information

We treat all client information and uploaded materials as confidential. We will not:

• Share your personal information with third parties (except as required by law or as described in our Privacy Policy)
• Share your uploaded research materials or presentation content with other clients
• Use your specific clinical content for any purpose other than creating your presentation

7.2 Limitations

Confidentiality obligations do not apply to information that:

• Is or becomes publicly available through no fault of ours
• Was already known to us before you provided it
• Is independently developed by us without reference to your information
• Is required to be disclosed by law, regulation, or court order

7.3 Data Retention

We retain completed presentation files and client communications for a period of 90 days after final delivery. After this period, files may be permanently deleted from our systems. If you need access to your files after 90 days, we cannot guarantee availability.

8. Limitation of Liability

8.1 Service Limitations

To the maximum extent permitted by applicable law:

• Our total liability for any claim arising from or related to our services shall not exceed the amount you paid for the specific service giving rise to the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.
• We shall not be liable for any damages arising from your use or inability to use our services, including presentations delivered late, presentations with errors, or presentations that do not meet your subjective expectations.

8.2 No Warranty

Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• Our services will meet your specific requirements or expectations
• Our services will be uninterrupted, timely, secure, or error-free
• The results obtained from our services will be accurate or reliable
• Any errors in the services will be corrected

8.3 Force Majeure

We shall not be liable for any delay or failure to perform our obligations under these Terms if such delay or failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, internet outages, power failures, government actions, or technical failures of third-party services.

9. Protected Health Information (PHI) and HIPAA

9.1 We Are Not a HIPAA-Covered Entity

Lucid Med is not a healthcare provider, health plan, or healthcare clearinghouse. We are not a HIPAA-covered entity or a Business Associate as defined under the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and its implementing regulations.

9.2 Do Not Send PHI

You must not include any Protected Health Information (PHI) or patient-identifiable information in any materials uploaded to our service. This includes but is not limited to:

• Patient names
• Medical record numbers
• Dates of birth
• Social Security numbers
• Photographs of identifiable patients
• Any information that could reasonably be used to identify a specific patient

All clinical cases included in presentation materials must be fully de-identified in accordance with the HIPAA Safe Harbor Method (removal of 18 identifiers) before submission to our service.

9.3 Your Responsibility

By uploading materials to our service, you represent and warrant that:

• All patient cases have been de-identified prior to submission
• No PHI is contained in any uploaded files
• You have complied with all applicable privacy laws and institutional policies regarding patient information

9.4 Our Actions if PHI is Discovered

If we discover or suspect that uploaded materials contain PHI:

• We will immediately stop work on the project
• We will notify you promptly
• We will delete the materials containing PHI from our systems
• We may require you to resubmit de-identified materials before we resume work
• We will not be liable for any delays resulting from this process

9.5 Indemnification

You agree to indemnify, defend, and hold harmless Lucid Med, its owners, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to the inclusion of PHI in materials you provide to us.

10. Academic Integrity

10.1 Our Position

Lucid Med is a visual design service. We design the visual presentation of content provided by or directed by the Client. We do not:

• Write academic papers or manuscripts
• Conduct original research
• Generate clinical hypotheses or conclusions
• Create medical content intended to substitute for the Client's own intellectual work

Our service is comparable to:

• Hiring a graphic designer for a conference poster
• Hiring a medical illustrator for publication figures
• Using a professional printing service
• Engaging a statistician to visualize research data

10.2 Client Responsibility

The Client is solely responsible for:

• The intellectual content of the presentation
• Ensuring compliance with their institution's academic integrity policies
• Verifying all clinical and scientific information before presenting
• Properly attributing all sources and references
• Determining whether the use of our service is appropriate within their institutional context

10.3 Disclaimer

We make no representations regarding the compliance of our services with any specific institution's academic integrity policies, honor codes, or internal regulations. It is the Client's responsibility to review and comply with any applicable institutional policies before using our service.

11. Use of AI Tools

11.1 Transparency

We use artificial intelligence (AI) tools as part of our workflow to improve efficiency and quality. These tools may include but are not limited to:

• AI-powered content extraction and summarization tools
• AI-assisted design and layout tools
• AI-powered grammar and spelling checkers

11.2 Human Oversight

All AI-generated outputs are reviewed, edited, and refined by our human team before delivery. AI tools assist our workflow but do not replace human judgment, medical knowledge review, or design expertise.

11.3 No Independent AI Generation

We do not deliver raw, unreviewed AI-generated content. Every deliverable undergoes human review for:

• Medical accuracy
• Design quality
• Content relevance
• Formatting consistency

12. Prohibited Uses

You agree not to use our services or Website for any purpose that is:

• Unlawful, fraudulent, or deceptive
• Intended to harm, harass, or defame any person
• In violation of any applicable laws, regulations, or institutional policies
• Intended to submit presentations as academic work in contexts where outsourced design is explicitly prohibited by your institution
• Related to patient care decisions (our presentations are for educational purposes only)

You also agree not to:

• Resell, redistribute, or sublicense our deliverables or templates without our written consent
• Claim that our design work constitutes your original design creation
• Use our brand name, logo, or trademarks without our written permission
• Attempt to reverse-engineer our design processes or templates for commercial purposes

13. Termination

13.1 By You

You may cancel an order at any time by notifying us in writing at hello@lucidmed.store. Cancellation and refund terms are governed by our Refund Policy.

13.2 By Us

We reserve the right to refuse service, cancel orders, or terminate our relationship with any Client at our sole discretion, including but not limited to situations where:

• The Client provides false or misleading information
• The Client includes PHI in uploaded materials
• The Client engages in abusive or harassing behavior toward our team
• The Client violates any provision of these Terms
• We reasonably believe the service is being used for fraudulent or unlawful purposes

In the event we terminate an order, we will refund any payment for undelivered services.

14. Dispute Resolution

14.1 Informal Resolution

In the event of any dispute arising from or relating to these Terms or our services, both parties agree to first attempt to resolve the dispute informally by contacting us at hello@lucidmed.store. We will make commercially reasonable efforts to resolve any dispute within 30 days.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

14.3 Jurisdiction

Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts located in Mumbai, India.

14.4 Limitation Period

Any claim or cause of action arising from or related to our services must be filed within one (1) year after the cause of action arises. Claims filed after this period are permanently barred.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting the updated Terms on our Website with a new "Last Updated" date.

Your continued use of our services after any changes constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.

For material changes that significantly affect your rights, we will make reasonable efforts to notify existing clients via email.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

17. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and Medical Disclaimer, constitute the entire agreement between you and Lucid Med regarding your use of our services and supersede all prior agreements, understandings, and communications, whether written or oral.
